Refund and Returns Policy

NOTICE: ALL SALES ARE FINAL.
This policy is drafted specifically for the professional clothing stocklot and surplus wholesale industry. By placing an order, you acknowledge that you are purchasing merchandise sold "AS-IS" with inherent industry-accepted risks.

1. Nature of Stocklot Apparel & Product Conditions

By purchasing from us, you (the "Buyer") explicitly acknowledge the unique nature of the clothing stocklot, surplus, and liquidation industry. This is NOT retail shopping. Goods are sold "AS-IS", without warranty, and are subject to the following specific conditions:

1.1 Inherent Characteristics

Stocklot apparel may possess inherent characteristics common to the trade, which are not considered defects:

  • Mixed Stock: Quantities may contain a mix of sizes, colors, or styles unless explicitly specified as "single style/color".
  • Packaging: Items may lack original retail packaging, polybags, or tags. Goods are typically packed in compressed bales or bulk cartons.
  • Condition: Items may have dust from storage, minor loose threads, missing buttons, or slight wrinkles. These are standard for the industry and not valid grounds for complaint.
  • Labeling: Labels may be cut, marked, or removed to protect original brand channels. This is standard practice for liquidation goods.

1.2 Our Preliminary Inspection

To ensure a basic level of quality, we typically conduct a preliminary visual inspection before shipment to filter out obviously damaged or unsellable items. However, this is a general screening process only.

  • Non-Binding: This preliminary check does not constitute a formal Quality Control (QC) process and does not guarantee that the goods are free from defects within the accepted tolerance (see Section 1.3).
  • Recommendation: If you require a detailed, item-by-item inspection report, please purchase our "Detailed QC" Value-Added Service (see Section 7).

1.3 Defect Tolerance Rate

Due to the nature of liquidation goods, a percentage of items may have manufacturing defects or damages. Buyer acknowledges and accepts the following tolerance:

  • Allowance: A defect/damage rate of up to 5% is considered acceptable and within industry standards.
  • No Remedy: Defects falling within this 5% range are not eligible for refunds, returns, or compensation. The wholesale price is calculated to absorb this risk.
  • Calculation: Defect rates are calculated based on the total quantity of the lot, not individual items.

Business Risk Acknowledgment: Buyer is responsible for assessing the marketability of the goods. We provide no guarantee of resale value, profit margins, or fitness for a specific retail market.

2. Pre-Shipment Verification

To minimize disputes, we typically facilitate a verification process prior to dispatch:

  • Video Verification: We typically provide a video or live feed showing the goods, packing process, and loading. This service is subject to operational availability.
  • Binding Acceptance: If verification is provided, your authorization to ship (or failure to object prior to shipment) constitutes final acceptance of the goods' condition and quantity.
  • Waiver: Once goods are dispatched post-verification, the Buyer waives all rights to claim discrepancies that were visible or should have been visible during the verification process.

3. Logistics, Shipping & Risk Transfer

3.1 Transfer of Title and Risk

Title and risk of loss or damage pass to the Buyer immediately upon handover to the carrier at our warehouse. We bear no responsibility for transit delays, damage, moisture, or loss once goods leave our facility.

3.2 Buyer-Appointed Forwarders (Ex-Works)

If the Buyer designates their own logistics provider:

  • Full Liability: The Buyer assumes all liability for the goods upon collection from our warehouse.
  • No Insurance Provided: We do not provide transit insurance for Buyer-arranged shipments.
  • Transport Issues: We are not liable for any damage, loss, or delays caused by the Buyer's appointed forwarder during the transportation process.
  • Claims: Any claims for loss or damage must be directed solely to the appointed forwarder. We will not process refunds or replacements for issues arising during transport arranged by the Buyer.

3.3 Seller-Arranged Shipping (Agency Role)

If the Buyer requests us to arrange shipping on their behalf:

  • Agency Status: Our core business is clothing stocklot wholesale, not logistics. When we arrange shipping, we act solely as a booking agent for the Buyer.
  • No Liability for Carrier Performance: We are not liable for the carrier's performance, delays, damage, customs issues, or loss. Our responsibility ends upon successful handover of goods to the carrier.
  • Assistance Only: We may assist in communicating with the carrier in case of disputes, but this assistance is purely a courtesy. We do not assume financial responsibility for carrier negligence or force majeure events.

4. Strict "No Return" Policy

All sales are final. The wholesale nature of our business and the discounted pricing structure do not allow for the costly logistics of returns. We strictly do not accept claims or returns based on the following categories:

4.1 Business & Market Factors

We are not responsible for the commercial viability of the goods after purchase. Claims based on the following are rejected:

  • Market Demand: "The style is not popular," "I cannot sell them," or "The market trend has changed."
  • Profitability: "I cannot make a profit at the price I wanted," or pricing errors made by the Buyer.
  • Change of Mind: The Buyer simply no longer wants the stock or found a better deal elsewhere.

4.2 Product Specifics & Subjectivity

Stocklot goods may vary in specification. Claims based on subjective judgment are rejected:

  • Sizing & Fit: Stocklot sizing often differs from standard retail sizing charts. We are not liable if the items run smaller or larger than expected.
  • Color Accuracy: Colors may look different due to monitor settings, lighting during photography, or production batches. Minor variations are not defects.
  • Material Feel: Personal preference regarding fabric texture, softness, or weight is subjective and not grounds for return.

4.3 Standard Condition & Defect Tolerance (The 5% Rule)

Buyer acknowledges that a defect rate of up to 5% is standard for the stocklot industry. Claims falling within this tolerance are strictly excluded. This includes, but is not limited to:

  • Minor Imperfections: Loose threads, untrimmed threads, minor skipped stitches, or small pen-point marks.
  • Accessory Issues: Missing buttons, stuck zippers, or loose sequins/beads that can be easily reattached.
  • Surface Marks: Small dust spots, light dirt marks from storage, or minor ink spots that may wash out.
  • Definitions: The determination of whether a flaw constitutes a "major defect" or falls within "standard tolerance" is at our sole discretion. Generally, flaws that do not affect the structural integrity or primary wearability of the garment are considered minor.

4.4 Transit & Handling Issues

  • Compression: Wrinkles or compression lines from bulk packing are normal and not defects.
  • Shipping Damage: Any damage or loss occurring after goods have left our facility (see Section 3).

5. Claims & Dispute Resolution

Claims are only considered for major discrepancies (e.g., completely wrong goods received) and must strictly adhere to the following:

  • Notification Deadline: Claims must be reported within 24 hours of delivery timestamp. Late claims are automatically void.
  • Mandatory Evidence: A continuous, unedited unboxing video showing the external package condition, opening process, and internal contents is mandatory. Photos are insufficient.
  • Exclusions: Claims are automatically rejected if:
    • The issue relates to damage or loss caused by the Buyer's own appointed forwarder during transport.
    • The goods matched the pre-shipment verification video.
    • The complaint falls under standard tolerance or industry characteristics.

6. Returns & Financial Terms

In the rare instance a return is authorized as a gesture of goodwill (not obligation), the following terms apply:

  • Logistics: The Buyer is solely responsible for all return shipping costs, customs duties, and logistics arrangements.
  • Non-Refundable Costs: Original shipping charges and any transaction fees are strictly non-refundable.
  • Restocking Fee: A restocking fee of 15-20% will be deducted from any refunded amount to cover administrative and handling costs.
  • Condition: Returned goods must be in the exact condition received. Partial returns are not accepted.

7. Value-Added Services (Optional)

Standard wholesale orders are shipped in bulk "as-is". The following services are NOT included in the base price but may be available for an additional fee upon request prior to shipment:

  • Quality Control (QC): Item-by-item inspection to filter major defects.
  • Processing: Cleaning, steaming, ironing, or repacking into individual polybags.
  • Labeling: Removing existing labels or attaching new brand labels.

If these services are not purchased, no claims will be accepted regarding the specific conditions these services address (e.g., presence of dust, minor defects).

8. Order Cancellation

  • Orders may only be cancelled if requested before processing begins.
  • If goods have been packed or video verification sent, cancellation is not permitted.
  • Approved cancellations are subject to a cancellation fee (typically 5-10%) to cover transaction and administrative costs.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Our liability is limited strictly to the invoice value of the goods in dispute.
  • We are NOT liable for any indirect, incidental, or consequential damages, including but not limited to lost profits, loss of business opportunity, or damage to business reputation.
  • We do not guarantee specific sales performance or market acceptance of the goods.
